Empery Digital sold 1,400 BTC for about $87.1 million, cutting its bitcoin holdings nearly in half. $10 million repaid debt; remaining proceeds set for a pending AI data-center property, legal fees and operations.
Empery Digital reported in an SEC filing that it sold 1,400 Bitcoin since May 7, generating roughly $87.1 million in gross proceeds. The company reduced its bitcoin holdings by nearly half as a result of the sales.
The filing shows the coins were sold at an average price of about $62,200 per bitcoin. On July 7, Empery applied $10 million of the proceeds to retire outstanding debt. The company identified the remaining funds for a previously announced real estate transaction, legal expenses tied to shareholder litigation and general operating costs.
On June 30 Empery disclosed plans to acquire a 25% ownership stake in a private entity that is buying a Midwest facility to convert into an AI data center. The property transaction was described as a $65 million deal and depends on a purchase and sale agreement that has not yet closed, according to the filing.
The SEC filing does not provide a timetable for completing the property acquisition or for resolving the pending litigation. The quarterly report for the period ending March 31 had previously disclosed the existence of shareholder litigation and noted related legal costs, without specifying amounts.
As of July 10, the filing shows Empery held 1,514 BTC and about $73.9 million in cash, down from roughly 2,914 BTC before the sales. The company also reported about $45 million remaining on its debt facility.
Empery did not provide a comment in response to a request for clarification about whether the sales will change its longer-term treasury strategy. The SEC filing is the primary disclosure on these transactions and does not detail any additional asset sales or timing for future moves.
