American Bitcoin to 1-for-15 reverse split, trims shares 93%

American Bitcoin will complete a 1-for-15 reverse split at 5 p.m. ET July 2, cutting shares from about 1.09 billion to roughly 73 million; trading resumes July 6 under ABTC.

American Bitcoin will carry out a 1-for-15 reverse stock split that becomes effective at 5 p.m. Eastern on July 2, 2026. The company’s outstanding share count will fall from about 1.09 billion to roughly 73 million, and split-adjusted trading is expected to begin when markets open on July 6 under the existing ABTC ticker with a new CUSIP, 02462A203.

Under the consolidation, every 15 shares of Class A and Class B common stock will convert into one share. After the split there will be about 24 million Class A shares and about 49 million Class B shares outstanding. Fractional shares resulting from the consolidation will be paid in cash by transfer agent Continental Stock Transfer & Trust Company.

Stockholders approved the reverse split at the company’s annual meeting on June 22, and the board set the ratio at 1-for-15. Registered shareholders do not need to take action; positions held through brokers or banks will be adjusted automatically and brokerage accounts will reflect the new share counts and prices after markets open on July 6.

In a regulatory filing, the company wrote that the reverse split is intended to raise the per-share trading price to meet Nasdaq’s minimum bid price requirement and preserve its Nasdaq listing. The company noted the split will not change its total market capitalization, mining capacity or bitcoin holdings on a proportional basis.

Trading in ABTC will resume on a split-adjusted basis on July 6 with the same ticker and the new CUSIP number 02462A203.
