SpaceX President Sells $52M in Stock Before Starship Launch

Gwynne Shotwell sold about $52 million of SpaceX stock days before Monday’s planned Starship flight, SEC filings show.

Gwynne Shotwell, president and chief operating officer of SpaceX, sold roughly $52 million of company stock in transactions disclosed in a Securities and Exchange Commission filing this week. The transactions occurred in the days before Monday’s planned Starship launch from Boca Chica, Texas.

The SEC filing lists the transactions’ value at about $52 million and does not indicate whether they were part of a prearranged trading plan. The filing does not state whether the sales were executed under a 10b5-1 plan, which allows insiders to sell shares according to a preset schedule.

SpaceX is a privately held company. Equity sales by executives at private companies are typically carried out through secondary transactions or tender offers rather than on a public exchange. Because SpaceX shares are not publicly traded, the transactions do not generate a public market price reaction.

The Starship launch scheduled for Monday is part of an integrated test campaign for SpaceX’s next-generation heavy-lift system, which includes flight trials of the Super Heavy booster and the Starship upper stage. Tests and launches are being conducted from the company’s Boca Chica, Texas, facility.

The timing of large equity transactions by senior executives draws scrutiny from investors and regulators when they occur near major corporate events. The SEC filing provides public notice of the trades but does not explain personal reasons executives may have for selling shares, such as diversification, tax planning or personal liquidity needs.

SpaceX did not immediately provide a comment on the filing. Representatives for Shotwell did not respond to requests for comment. In prior disclosures, the company described individual executive equity sales as personal financial decisions separate from company operations.
