Securitize jumps 15% after SEC clears tokenized RWAs
Securitize shares rose 15% after the SEC issued an exemption allowing real-world assets to be traded as tokenized securities.
Securitize shares rose about 15% in early trading after the U.S. Securities and Exchange Commission issued an exemption that allows certain real-world assets to be offered and transferred as tokenized securities under U.S. law.
The SEC’s order sets conditions for tokens tied to commercial real estate, private debt, funds and other illiquid assets to be represented and exchanged without separate registration of each secondary trade. The exemption attaches disclosure obligations, investor verification rules, anti-fraud protections and ongoing reporting requirements to those tokenized securities.
Market participants attributed the stock move to reduced regulatory uncertainty and clearer paths for issuance and secondary trading. Securitize provides token issuance infrastructure, investor onboarding, transfer agent services and compliance tools that support issuance and secondary market connectivity.
The order specifies requirements for broker-dealers, trading venues, transfer agents and custodians that handle token transfers. Issuers must align with transfer agents and custodians that meet the SEC’s standards, and market infrastructure for custody, reconciliation and settlement will need to scale to support greater token activity.
The exemption is intended to make tokenized representations of loans, real estate holdings and private equity stakes more easily tradable on regulated venues. Supporters of tokenization say it can enable fractional ownership and faster settlement; the SEC’s order links those potential benefits to investor protections and compliance obligations.
Analysts and market operators said the practical impact will depend on how intermediaries implement the order. Issuers will weigh the costs and operational work required to meet disclosure and custody rules against potential liquidity and investor-diversification benefits. For Securitize and similar platforms, the exemption may increase demand for token issuance and compliance services while creating added regulatory responsibilities and competition from traditional financial firms building token capabilities.
