Metaplanet buys Siiibo for ¥2.1bn to build Bitcoin securities
Metaplanet will buy Siiibo Securities for ¥2.1 billion, rename it Metaplanet Securities after a planned July close and offer Bitcoin-linked securities using its 40,177 BTC.
Metaplanet has agreed to acquire Siiibo Securities for ¥2.1 billion and will make the licensed firm a wholly owned subsidiary, renaming it Metaplanet Securities after a planned closing in July. The Tokyo-listed company signed a share transfer agreement to acquire 100% of Siiibo as it establishes a securities arm focused on Bitcoin-related products.
The purchase price is about ¥2.1 billion (roughly $13.1 million). The acquisition brings a licensed financial instruments business operator as well as Siiibo’s corporate bond platform and its customer base. Metaplanet said it will integrate Siiibo into its planned securities operations after the deal closes.
Metaplanet plans to use Siiibo’s licence and platform to structure income-oriented products tied to Bitcoin, including bonds that reference BTC performance, and to distribute regulated securities to retail and institutional investors in Japan.
The company holds 40,177 BTC, with a net asset value of about ¥457.6 billion (around $2.8 billion). That holding makes Metaplanet the largest publicly listed Bitcoin holder in Japan and the third-largest globally, according to Bitcoin Treasuries.
The acquisition is part of Project Nova, Metaplanet’s strategy to build a Bitcoin-focused financial ecosystem in Japan. CEO Simon Gerovich wrote: “We will develop and distribute Bitcoin-related yield products directly to Japanese investors, supported by the 40,177 BTC on our balance sheet.”
The deal arrives as Japan’s Lower House passed a bill to classify crypto assets as financial instruments, a change that could enable exchange-traded products tied to digital assets and affect tax treatment for crypto holdings. Market infrastructure providers in Japan are testing tokenized assets and trials of digital collateral with banks and clearing houses.
The companies did not disclose detailed integration terms or product launch timelines beyond the expected July closing. The rename to Metaplanet Securities will take effect after the share transfer is completed and Siiibo is absorbed as a Metaplanet subsidiary.
