Evernorth advances XRP treasury transfer after SEC filing

Evernorth said an SEC filing became effective, allowing the Cigna unit to proceed with transferring XRP into its corporate treasury.

Evernorth, the health services subsidiary of Cigna, moved forward with a plan to place XRP into its corporate treasury after a Securities and Exchange Commission filing filed by the company became effective.

The company indicated in regulatory paperwork that the filing tied to the XRP transaction had taken effect, clearing the condition set out in the disclosure and authorizing Evernorth to execute the transfer described in the document.

The filing’s effective status is the regulatory trigger that permits companies to carry out certain transactions that depend on SEC procedural and disclosure requirements. Once that condition was met, Evernorth proceeded with the transfer or the recording of the digital asset as outlined in its submission.

Evernorth’s public disclosure included only the information required by the filing. The paperwork described the mechanics to transfer or record the XRP in the company’s treasury accounts but did not detail the firm’s broader holdings or treasury strategy.

XRP is a digital token originally issued by Ripple Labs and is used for payments and transfers on some blockchain networks. The token has faced regulatory scrutiny in the United States, including an enforcement action by the SEC that challenged certain sales and distributions of XRP.

Companies that choose to hold cryptocurrencies must address legal and accounting questions and meet federal disclosure and reporting obligations. Firms often use SEC filings to document and authorize transactions related to digital assets.

Evernorth did not provide additional public comment beyond the regulatory filing. The effective filing fulfilled the precondition named in the disclosure and enabled the company to record the XRP transaction in its treasury accounts and comply with applicable disclosure rules.
